Article I: NAME AND PURPOSE
Section 1. This organization will be known as the Louisiana Classical Association (LCA). It is a non-profit and educational organization.Article II: MEMBERSHIP AND DUESSection 2. The objectives of the LCA are:
- A. To advance the interests of the classics and classicists in Louisiana.
- B. To stimulate active interest in development in the classical field.
- C. To strengthen the position of Latin and Greek at all levels in the curricula of both private and public Louisiana schools.
- D. To bring about a closer association and cooperation among other organizations whose objectives are similar to those of the LCA.
- E. To provide a forum for the dissemination and sharing of teaching resources.
Section 1. Membership will be open to all individuals and organizations who are in accord with the objectives of the association as set forth in Article 1, Section 2.Article III: OFFICERSSection 2. The fiscal year for membership will be September 1 to August 31.
Section 3. Each member shall contribute dues according to a fee schedule to be determined by a majority vote of those members attending the annual meeting.
Section 1. The elected officers will be: President, Vice-President, and Secretary-Treasurer.Article IV: EXECUTIVE COUNCILSection 2. The duties of the officers will be as follows:
Section 3. The term of office will be one year, to coincide with the fiscal year.
- A. The President will preside at all meetings of the LCA and will call and preside at meetings of the Executive Council. The President will appoint chairmen of committees.
- B. The Vice-President will assist in any way that facilitates the President's duties. In case of the President's absence or resignation, the Vice-President assumes the duties of the President.
- C. The Secretary-Treasurer will record and report minutes of all meetings, carry on correspondence, receive all money belonging to the association, and keep a record of all transactions. The Secretary-Treasurer will prepare and present an annual financial statement at the annual meeting and interim financial reports at any other meetings.
Section 4. Elections will be held at the annual meeting. The Vice-President will automatically assume the office of President in the ensuing year. Candidates for the offices of Vice President and Secretary-Treasurer will be nominated by a nominating committee to consist of the current Vice-President (chairman, ex officio) and two additional members to be appointed by the President. It will be the duty of the committee to solicit nominations from the membership.
Section 1. The Executive Council will consist of the immediate past president, all current officers, and the webmaster(s).Article V: MEETINGSSection 2. The duties of the Executive Council will be:
- A. To conduct the general administration of the LCA under the chairmanship of the President
- B. To determine the agenda of the meetings of the organization
- C. To advise and assist the President
Section 1. Meetings of the entire membership will be held a minimum once each year. Every effort will be made to alternate meeting sites between the northern and southern regions of the state.Article VI: AMENDMENTSSection 2. The number of members present at any regularly scheduled business meeting will constitute a quorum.
Section 3. A simple majority vote will be required to transact business at all meetings.
Section 1. Amendments to the Constitution of this association may be made at any meeting of the LCA by a two-thirds vote of the members present, provided that all members have been given written notice of the proposed amendment(s) at least one month in advance of the meeting.Article VII: DISSOLUTION OF THE ASSOCIATIONSection 2. Amendments should be presented to the Executive Council.
Section 1. This association may be dissolved only at a special meeting called for the purpose by vote of three-fourths of the total membership or by a vote of three-fourths of the total membership by written ballot.Section 2. Upon any such dissolution of this association, all its property remaining after satisfaction of all its obligations will be distributed to such one or more corporations, funds, or foundations as are organized and operated exclusively for charitable, scientific, or educational purposes, not part of the net earnings of which inures to the benefit of any private shareholder, member or individual, and which does not carry on propaganda or participate or intervene in any political campaign.
Section 3. The corporation, funds, or foundations to receive said property will be chosen by the existing executive council of this association.
